Terms of Service

Summary: These terms govern access to ABHive. If you use ABHive on behalf of an organisation, you confirm you have authority to bind that organisation.
1. Definitions
- "ABHive", "Service": the ABHive hosted software, related websites, and any associated services we provide.
- "Customer", "you": the organisation using the Service.
- "Users": individuals authorised by Customer to use the Service.
- "Customer Data": data, content, files, and information submitted to the Service by or on behalf of Customer.
- "Order": an online checkout, order form, or other document referencing pricing, plan, and term.
2. Who we are
The Service is operated by Lone Goat Limited ("ABHive", "we", "us", "our"). Registered address: 20 Havelock Road, Hastings, East Sussex, TN34 1BP, United Kingdom
3. Agreement and eligibility
By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service for an organisation, you represent you have authority to accept these Terms for that organisation.
4. The Service
ABHive provides tools for experimentation workflow, CRO project management, and analysis features. We may update, change, or discontinue parts of the Service. We will use reasonable efforts to avoid materially reducing core functionality during a paid term.
5. Accounts and security
- You are responsible for Users' activity and for maintaining the confidentiality of login credentials.
- You must ensure Users provide accurate account information and keep it up to date.
- Notify us promptly of any suspected unauthorised access or security incident.
6. Acceptable use
You must not, and must not allow Users to:
- Use the Service unlawfully or to infringe third-party rights.
- Probe, scan, or test the vulnerability of the Service, or bypass security measures.
- Reverse engineer or attempt to extract source code except to the extent permitted by law.
- Transmit malware, spam, or harmful code.
- Interfere with the operation of the Service or abuse rate limits.
- Upload Customer Data that you do not have the right to process and share with us.
7. Customer Data and privacy
- Ownership: As between you and ABHive, you own Customer Data.
- Licence: You grant ABHive a limited, non-exclusive licence to host, copy, process, transmit, and display Customer Data only as needed to provide and secure the Service and to meet legal obligations.
- Your responsibilities: You are responsible for the legality of Customer Data, and for providing notices and obtaining consents where required (for example, if you upload personal data of your own customers).
- Data protection: Our Privacy Policy describes how we process personal data. Where we process Customer Data as a processor, our DPA applies.
8. Subscriptions, fees, and payment
- Plans: Features and limits depend on your plan as shown on our pricing page or Order.
- Billing: Fees are billed in advance (monthly or annually unless stated otherwise) and are non-refundable except where required by law or expressly stated in an Order.
- Taxes: Fees are exclusive of applicable taxes (such as VAT) unless stated otherwise.
- Non-payment: If payment is overdue, we may suspend paid features after giving reasonable notice.
- Changes: We may update fees for renewals with prior notice. Changes do not apply mid-term unless agreed.
9. Trials and beta features
If we provide a free trial or beta feature, it may be subject to additional terms, limits, or reduced support. Trial and beta features may be modified or withdrawn at any time.
10. Intellectual property
ABHive and its underlying technology, design, and software are owned by us or our licensors. Except for the limited rights granted in these Terms, we reserve all rights, title, and interest in the Service. "ABHive" and associated logos may be trademarks.
11. Confidentiality
Each party may receive the other's confidential information. Each party will protect confidential information using reasonable care and use it only to perform under these Terms. Confidential information excludes information that is public, independently developed, or lawfully obtained without restriction.
12. Support
Support channels and response targets (if any) depend on your plan or Order. We may publish support hours and maintenance windows separately.
13. Suspension and termination
- By you: You can stop using the Service at any time. If you have a paid subscription, cancellation takes effect at the end of the current billing period unless your Order states otherwise.
- By us: We may suspend or terminate access if you breach these Terms, do not pay fees when due, or if your use poses a security risk, after reasonable notice where practicable.
- Effect: On termination, your right to use the Service ends. We will handle deletion/return of Customer Data in line with the DPA and Privacy Policy, subject to legal retention.
14. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.
15. Limitation of liability
Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, or any liability that cannot be limited under law.
Subject to the paragraph above, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business, goodwill, or data (in each case whether direct or indirect).
Our total liability arising out of or relating to the Service will not exceed the fees paid (or payable) by you to ABHive for the Service in the 12 months before the event giving rise to the claim, or GBP 100, whichever is higher.
16. Indemnity
You will indemnify and hold ABHive harmless from claims arising out of Customer Data, your breach of these Terms, or your unlawful use of the Service, including reasonable legal fees.
17. Third-party services
The Service may integrate with third-party services (for example analytics tools, call tracking, A/B testing, or data sources). Your use of third-party services is governed by their terms and privacy policies. ABHive is not responsible for third-party services.
18. Changes to the Service or Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice (for example by posting on this page and/or emailing account owners). Continued use after the effective date means you accept the updated Terms.
19. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except where applicable law requires otherwise.
20. General
- Assignment: You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset sale.
- Severability: If a provision is unenforceable, the remainder remains in effect.
- Entire agreement: These Terms, the Privacy Policy, and any Order/DPA form the entire agreement relating to the Service.
- Notices: We may send notices via email and/or within the Service. You may send notices via the ABHive support channel.
- Force majeure: Neither party is liable for delays outside reasonable control.
